These terms and conditions ("Terms and Conditions") apply where You choose to use and/or register as a member ("Member") of this website www.venn.com (the "Site"). This Site is offered to you ("Your"/"You") by Venn Social Limited ("We"/"Us"/"Our").
Please read these Terms and Conditions carefully before using the Site or registering as a Member. If You do not agree to these Terms and Conditions, then You SHOULD NOT use the Site or register as a Member.
1.1 By using the Site and/or registering as a Member You will be deemed to have accepted and be bound by these Terms and Conditions.
1.2 We reserve the right to change or update these Terms and Conditions from time to time however You may at any time cancel Your Membership as set out in paragraph [8] and/or cease to use the Site. Any revisions to these Terms and Conditions will be notified to You the next time that You use the Site or log on to the Site as a Member or by email.
1.3 You should keep a copy of these Terms and Conditions for future reference.
You must be 18 years or over to use the Site and/or register as a Member. If We discover or have any reason to suspect that You are not over 18 years of age, then We reserve Our right to suspend or terminate Your Membership or use of this Site immediately and without notice.

4.1 Using the Site is free of charge However You need to register Your details and become a Member to use the services and features of the Site.
4.2 In order to register as a Member, You will be required to enter various personal details including Your name, Your address, Your date of birth, and Your email address] wand create a Member profile which will be able to be viewed by other Members and users of the Site. Your personal data will be used and stored in accordance with Our Privacy Policy available on this link www.venn.com/c/privacy. You must also select a password and Member name that You can use to access and manage Your Member account and profile.
4.3 You are responsible for maintaining the confidentiality of Your password and member name and are responsible for all activities that occur under them. We do not have the means to check the identity of people using the Members' area of the Site and will not be liable where Your password or member name are used by someone else.
4.4 You agree to notify Us immediately of any unauthorised use of Your password or member name or any other breach of security of which You become aware.
5.1 You confirm that:
5.1.1 You are over 18
5.1.2 all information and details provided by You to Us (including on registration) are true, accurate and up to date in all respects and at all times. You can update or correct Your personal details at any time by amending Your account details at www.venn.com/user.
5.1.3 You will comply with the restrictions on Your use of the Site as set out in these Terms and Conditions (including without limitation the restrictions relating to acceptable use set out in section 7 below); and
5.1.4 in relation to any material submitted to or posted on the Site by You that You have the right to do so and have obtained all necessary licences and or approvals.
5.2 You acknowledge that We have limited control over the nature and content of information and programs transmitted or received by You or other Users of the Site. You agree to compensate and defend Us fully against any claims or legal proceedings brought against Us by any other person as a result of Your breach of these Terms and Conditions.
5.3 If We take legal action against You for any breach of these Terms and Conditions and a court makes an award in Our favour You will be responsible for all costs allowable by the Courts.
6.1 We do not under normal circumstances actively monitor use of the Site, including the Members' area. You acknowledge and agree that We are not responsible for the conduct and behaviour of Members on the Site.
6.2 When using the Site You must not:
6.2.1 advertise or promote third party or Your own products or services including by way of the distribution of 'spam' mail/messages;
6.2.2 use foul, threatening or offensive language including, without limitation, racist, sexist, ageist, homophobic or sexually explicit language where inappropriate;
6.2.3 distribute illegal, copyright infringing, indecent or offensive material or any messages or content that may incite disorder or encourage illegal activities or that causes or may cause harm to minors;
6.2.4 impersonate another person or Member;
6.2.5 transfer files that contain viruses, trojans or other harmful programs;
6.2.6 use the Site to conduct any fraudulent or unlawful activity;
6.2.7 access or attempt to access the accounts of other Members or to penetrate/circumvent (or attempt to penetrate/circumvent) the Site security measures;
6.2.8 have more than one Member account at any time.
6.3 Where We become aware of or We suspect any breach of these Terms and Conditions by You (or in relation Your Member account) (or where We are required to do so by any law or by any law enforcement agency (including but not limited to the police)), We may in Our sole discretion:
6.3.1 prevent You from registering to become a Member;
6.3.2 remove Your Member profile (including photographs) or other material (including but not limited to those that, in Our sole discretion We suspect may be inappropriate or be illegal or may subject Us to liability);
6.3.3 issue You with verbal or written warnings and may take such further action as We deem appropriate under this paragraph 6.3 if such warnings are not heeded;
6.3.4 at any time, without notice to You, suspend or terminate Your access to the Members' area of the Site or take steps to prevent You from accessing the Site as a whole;
6.3.5 inform the appropriate authorities and provide them with information regarding any suspected illegal activity; or
6.3.6 bring legal action against You in relation to any breach of these Terms and Conditions or any illegal or suspected illegal activity. For the avoidance of doubt We will determine, in Our sole discretion, what action is appropriate to be taken against a Member or user of the Site on a case by case basis.
6.4 You acknowledge that We may be required by law or regulation to access, monitor, store or copy material sent by or to You or contributed by You without further notice to You
7.1 As part of the services We provide Our Members, We may, from time to time, suggest various venues to You where You will be able to meet other Members socially ("Venues"), and We may publicise on the Site certain promotions and special offers available at such Venues.
7.2 You acknowledge and agree that where You wish to take advantage of any promotions or special offers at Venues, You will be responsible for making booking with such Venues and You will be responsible for cancelling any such booking that are no longer required by You.
7.3 Where You attend such Venues You acknowledge and agree that You will be liable for (and that You will compensate and defend Us fully against any claims or legal proceedings brought against Us by any other person in respect of):
7.3.1 any and all costs and expenses that You incur in relation to Your visit to such Venues (including but not limited to any charges for booking such Venues and the cost of food, beverages and entertainment consumed by You at such Venues);
7.3.2 any failure by You to comply with any terms and conditions specified by such Venues in respect of Your use of the Venues; and
7.3.3 any loss or damage suffered by such Venues and/or other third parties caused by any acts or omissions by You in relation to Your visit to the Venue.
8.1 You may terminate these Terms and Conditions by ceasing to use the Site.
8.2 You may cancel your Membership by notifying us in writing at admin@venn.com.
9.1 Your use of the Site and its contents grants no rights to You in relation to Our intellectual property rights including, without limitation, copyright trade marks, logos, graphics, photographs, animations, videos and text or the intellectual property of third parties in the Site and its contents.
9.2 You may not copy, reproduce, republish, download, post, broadcast, record, transmit, commercially exploit, edit, communicate to the public or distribute in any way the services, Web pages or materials on the Site or the computer codes of elements comprising the Site other than for Your own personal use. Subject to the above, You may download insubstantial excerpts of this content to Your hard disk for the purpose of viewing it provided that no more than one copy of any information is made.
9.3 Any use other than that permitted under this clause may only be undertaken with Our prior express authorisation.
9.4 By submitting information, text, photos, graphics or other content to Us via the Site, You grant Us a right to use such materials at Our own discretion in any media including, without limitation, to edit, copy, reproduce, disclose, post and remove such materials from the Site.
10.1 You may establish links to the Site provided:
10.1.1 You do not remove or obscure, advertisements, the copyright notice or other notices on the Site;
10.1.2 You give Us notice of such link by sending an e-mail message to Us at the email address contained at paragraph 3.2 above; and
10.1.3 You stop providing links to the Website immediately if We require You to.]

11.1 Whilst We will use all reasonable efforts to correct any errors or omissions as soon as practicable once they have been brought to Our attention, We do not promise that the Site will be available uninterrupted and in a fully operating condition nor that the information on and provided via the Site will be free from errors or omissions.
11.2 Access to this Site and its contents may be suspended temporarily and without notice to You in the case of system failure, necessary maintenance or repair or for reasons beyond Our control. We do not accept any liability for any failure, any suspension and/or any termination of access to the Site or any content in connection with or arising out of any event beyond Our control, (including but not limited to strikes, industrial disputes, nuclear accident or acts of God, war or terrorist activity, riot, civil commotion, malicious damage, compliance with any law or government order, rule regulation or direction, accident or breakdown of plant or machinery, fire, flood, storm or default of suppliers, and where they are beyond our reasonable control, any other acts, events, omissions or accidents).

11.4 Due to the fact that many technical aspects of the Site and the content provided on the Site are supplied by or otherwise dependent on third parties, We do not make any promises or give any assurances about the accuracy, suitability, reliability, completeness, performance, satisfactory quality, fitness for a particular purpose, or freedom from viruses, or other harmful programs of the content contained in or accessed through this Site.
11.5 The views expressed in any content or material which is uploaded by You or other users of the Site do not reflect Our views.
11.6 We do not accept any liability for:
11.6.1 any damage or loss caused to You where You are not entering into these Terms and Conditions as a consumer; or
11.6.2 any damage to your computer, any software or for any loss of data that results from your use of the Site.
11.7 These Terms and Conditions shall not make Us responsible for any damage or loss caused to You where such damage or loss is not reasonably foreseeable to You and Us when You use the Site, including where the damage or loss results from Our breach of these Terms and Conditions.
11.8 We accept liability for death or personal injury caused by Our negligence or that of Our employees and agents. We do not seek to exclude liability for fraudulent misrepresentation by Us or Our employees or agents.
11.9 Our total liability to You for any loss or damage arising in connection with these Terms and Conditions shall be limited to £1,000(one thousand pounds).

13.1 If We need to notify You about any significant matter in relation to these Terms and Conditions or Your use of the Site, We will do so by email to the email address which is associated with Your Membership. . If You need to notify Us about any significant matter in relation to these Terms and Conditions or Your use of the Site, please do so by email/by letter.
13.2 We may wish to transfer Our rights or obligations or sub-contract Our obligations under these Terms and Conditions to another other legal entity. You agree that We may do so provided that:
13.2.1 this will not adversely affect the standard of service You receive under these Terms and Conditions; and
13.2.2 in the case of transfer only, after We notify You of the date on which We will transfer Our rights and obligations under these Terms and Conditions to another legal entity, Your only rights under or in connection with these Terms and Conditions will be against the new legal entity and not against Us.
13.3 These Terms and Conditions are personal to You. You may not transfer Your rights or obligations under these Terms and Conditions to anyone else.
13.4 If You breach these Terms and Conditions and We take no action against You, We will still be entitled to use Our rights and remedies in any other situation where You breach these Terms and Conditions.
13.5 If any part of these Terms and Conditions is disallowed or found to be ineffective by any court or regulator, the other provisions shall continue to apply.
13.6 We will do Our best to resolve any disputes over these Terms and Conditions. If You wish to take court proceedings against Us You must do so within the United Kingdom. Relevant United Kingdom law will apply.
